FLORAGO Membership Terms
By purchasing, renewing, or using a FLORAGO Membership, you acknowledge that you have read, understood, and agree to these Membership Terms.
Membership applicants must be at least eighteen (18) years of age and represent and warrant that they have the authority to bind themselves, the member, and any associated business, organization, corporation, partnership, or other legal entity to these Membership Terms and all other FLORAGO policies.
Membership is a privilege, not a right. FLORAGO reserves the right to approve, refuse, suspend, restrict, or terminate any membership application or membership account at any time, with or without cause, and with or without notice, at its sole discretion.
Membership fees are billed in advance and are non-refundable. No full, partial, or prorated refunds will be provided for any unused portion of a membership term, including where a member chooses to cancel their membership before the end of the billing period. All membership fees are payable in advance unless otherwise specified as part of a promotional offer.
Membership benefits, pricing, discounts, eligibility requirements, purchasing privileges, and other membership features may be modified, restricted, suspended, or discontinued at any time without notice.
FLORAGO reserves the right to modify, suspend, discontinue, replace, restrict, or remove any membership benefit, service, feature, policy, pricing structure, discount, program, website functionality, purchasing privilege, product offering, eligibility requirement, or other aspect of the membership program at any time and without prior notice.
A FLORAGO Membership does not guarantee product availability, inventory allocation, access to any specific product, pricing level, service level, delivery schedule, purchasing volume, geographic coverage, future membership benefits, or any minimum level of service.
FLORAGO reserves the right to limit quantities, refuse orders, cancel orders, restrict purchasing privileges, suspend accounts, or decline to supply any customer, product, order, or transaction at any time and for any reason.
Membership does not create any partnership, agency, franchise, distribution right, exclusivity arrangement, preferred supplier relationship, fiduciary relationship, or continuing obligation on the part of FLORAGO.
FLORAGO makes no representation or warranty that any product, inventory, pricing, service, website feature, membership benefit, delivery option, or purchasing opportunity will remain available for any period of time.
FLORAGO shall not be liable for inventory shortages, supplier delays, transportation disruptions, customs delays, weather events, crop failures, product substitutions, product availability issues, delivery delays, website interruptions, technical failures, or any direct, indirect, incidental, consequential, special, or punitive damages arising from the use of, or inability to use, the membership or any associated services.
Membership benefits are personal to the approved account holder and may not be transferred, assigned, shared, sublicensed, resold, or otherwise provided to any third party without the prior written consent of FLORAGO.
Members agree to comply with all applicable FLORAGO policies, procedures, purchasing requirements, Terms of Purchase, website policies, membership rules, and any other policies published by FLORAGO from time to time.
Any abuse of membership privileges, misuse of the platform, non-payment, chargebacks, fraudulent activity, violation of FLORAGO policies, provision of false or misleading information, unauthorized sharing of membership benefits, or conduct deemed inappropriate by FLORAGO may result in immediate suspension or termination of membership without refund.
FLORAGO reserves the right to investigate any suspected violation of these Membership Terms and may request additional information, documentation, or verification at any time.
FLORAGO may amend these Membership Terms, membership fees, membership benefits, or any related policies from time to time. Continued use of the membership following any modification constitutes acceptance of the revised terms.
These Membership Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein
If any provision of these Membership Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
